Initial public offering of 75,35,000 equity shares of face value of Rs. 5/- each (the "Equity Shares") of Yash Highvoltage Limited ("The Company" or "YHL" or "The Issuer") at price of Rs. 146 per equity share (including a premium of Rs. 141 per equity share) ("Offer Price") for cash, aggregating to Rs. 110.01 crores* (the "Offer") comprising a fresh issue of 64,05,000 equity shares of face value of Rs. 5/- each aggregating to Rs. 93.51 crores* (the "Fresh Issue") and an offer for sale of 11,30,000 equity shares of face value of Rs. 5/- each aggregating to Rs. 16.50 crores* (the "Offer for Sale") by Keyur Girishchandra Shah (referred to as the "Promoter Selling Shareholder") The offer includes 3,77,000 equity shares of face value of Rs. 5/- each, at an offer price of Rs. 146 per equity share for cash, aggregating to Rs. 5.50 crores* was reserved for subscription by the market maker to the offer (the "Market Maker Reservation Portion"). The offer less market maker reservation portion i.e. offer of 71,58,000 equity shares of face value of Rs. 5/- each, at an offer price of Rs. 146 per equity share for cash, aggregating to Rs. 104.51 crores* is herein after referred to as the "Net Offer". The offer and net offer shall constitute 26.39 % and 25.07 % respectively of the post-issue paid-up equity share capital of the company. The face value of equity shares is Rs. 5 each. The offer price is Rs. 146 per equity share which is 29.20 times of the face value. *subject to finalisation of basis of allotment.
