Kalind Limited announced the withdrawal of a previously approved plan to issue warrants and instead approved a fresh proposal to allot up to 8,60,86,956 fully paid-up equity shares on a preferential basis, aggregating to Rs 98,99,99,994. The shares will be issued at Rs 11.50 per share, including a Rs 9.50 premium, to three non-promoter entities: SRM Global Infrastructure Limited (2,00,00,000 shares), Orange AI Tech Private Limited (2,17,39,130 shares), and Eroc Colorant Private Limited (4,43,47,826 shares). The company will seek shareholder approval for the equity share issuance and the warrant proposal has been dropped. Post-allotment, the promoter group will hold 12.39% while public shareholders will hold 87.61%. The preferential allottees, excluding promoters, will be subject to a six-month lock-in period. |
